1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Utsanzi Tech ("we", "us", or "our"), a company registered and operating in Zimbabwe.

By accessing or using our website at utsanzi.com, or any of our software products or services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are accessing our services on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.

2. Our Services

Utsanzi Tech provides a range of ICT products and services, including but not limited to:

• Kubhuka — Hotel Management System
• Utsanzi SMS — School Management System
• Forecourt Manager — Fuel Station Management
• Inventory Management, POS, HR Management — Business software solutions
• Custom software development, web design, mobile application development
• ICT consulting, networking, and brand identity services
• Solar panel installation and maintenance
• Hardware and technology product sales

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of services.

3. Accounts & Access

Account creation

Access to certain services requires an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

Account security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@utsanzi.com if you suspect any unauthorised use of your account.

Account eligibility

You must be at least 18 years of age to create an account or enter into a service agreement with Utsanzi Tech. By creating an account, you confirm you meet this requirement.

4. Acceptable Use

You agree to use our website and services only for lawful purposes and in a manner consistent with all applicable Zimbabwean laws and regulations. You must not:

• Use our services to transmit unlawful, harmful, threatening, abusive, defamatory, or offensive content
• Attempt to gain unauthorised access to any part of our systems or networks
• Reverse engineer, decompile, or disassemble any of our software
• Use automated tools to scrape, crawl, or extract data from our website without prior written consent
• Transmit viruses, malware, or any code designed to damage or interfere with our systems
• Impersonate Utsanzi Tech, its employees, or any other person or entity
• Use our services to send unsolicited commercial communications (spam)
• Violate any third-party intellectual property rights through use of our services

Violation of this acceptable use policy may result in immediate termination of your account and, where appropriate, referral to law enforcement authorities.

5. Intellectual Property

All content on this website and within our software products — including but not limited to text, graphics, logos, icons, images, audio, video, and code — is the property of Utsanzi Tech or its content suppliers and is protected by applicable Zimbabwean and international intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content from our website or products without our express prior written permission.

Product names, company names, and logos displayed on our website are trademarks of Utsanzi Tech or their respective owners. Nothing in these Terms grants any licence to use such trademarks without the owner's express written permission.

6. Software Licensing

Our software products are licensed, not sold. When you purchase access to a Utsanzi Tech software product, we grant you a limited, non-exclusive, non-transferable, revocable licence to use that product in accordance with the applicable product-specific service agreement.

Restrictions

• You may not sublicense, resell, or transfer your licence to any third party
• You may not use our software products to build a competing product or service
• You may not remove or alter any proprietary notices, labels, or marks on the software

Client data

Data you input into our software products remains your property. We act as a data processor on your behalf. You grant us a limited licence to process that data solely for the purpose of providing the contracted service.

7. Payment & Billing

All fees for our products and services are set out in the applicable quotation, proposal, or service agreement. Unless otherwise stated:

• Prices are quoted in United States Dollars (USD) or Zimbabwe Gold (ZiG) as agreed
• Payment is due within the terms stated on the invoice
• Late payment may attract interest at the prevailing legal rate
• Subscription services are billed in advance on a monthly or annual basis as agreed
• All fees are non-refundable except where required by Zimbabwean consumer protection law or as expressly stated in a specific service agreement

We reserve the right to suspend or terminate services in the event of non-payment, following reasonable notice.

8. Disclaimers

We do not warrant that:

• Our services will be uninterrupted, error-free, or secure
• Any defects in our software will be corrected within a specific timeframe
• Our website is free from viruses or other harmful components
• Results obtained from using our services will meet your specific requirements

Third-party links on our website are provided for convenience only. We do not endorse and are not responsible for the content or practices of any third-party websites.

9. Limitation of Liability

To the fullest extent permitted by applicable Zimbabwean law, Utsanzi Tech, its directors, employees, and agents shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunity
• Damages arising from unauthorised access to or alteration of your data
• Damages arising from interruption or cessation of our services

Our total aggregate liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the amount you paid to Utsanzi Tech in the twelve months preceding the claim.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, or for fraudulent misrepresentation.

10. Termination

Either party may terminate a service agreement by providing written notice as specified in the applicable product or service agreement. In the absence of a specific notice period, 30 days' written notice is required.

We may terminate or suspend your access immediately, without prior notice, if you materially breach these Terms, including but not limited to violations of the Acceptable Use policy, non-payment, or conduct that poses a security risk to our systems or other users.

Upon termination, provisions that by their nature should survive — including intellectual property rights, disclaimers, limitations of liability, and governing law — will remain in effect.

11. Governing Law

These Terms of Use are governed by and construed in accordance with the laws of the Republic of Zimbabwe. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Zimbabwean courts.

We encourage you to contact us first to resolve any disputes informally before initiating formal legal proceedings.
